The Company enables its clients to dispose of under-performing assets and generate cash from excess inventory by conducting or assisting in store closings, going out of business sales, bankruptcy sales and fixture sales. It also provides merger and acquisition due diligence, through the Company's auction and liquidation segment and reverse logistics and appraisal services, through its valuation and appraisal services segment. It provides reta! il auction and liquidation services on a fee and guarantee basis. In guarantee retail liquidation engag ements, it takes title to any unsold inventory. The Company ! designs and implements disposition programs for its customers seeking to convert excess wholesale and industrial inventory and operational assets into capital. Assets in an orderly liquidation are available for sale on a privately negotiated basis over a period of months. This sale method is often employed to dispose of furniture, fixtures and equipment in connection with retail liquidations, as well as wholesale inventory or industrial equipment. The Company's live auctions can cover single sites or multiple locations, and the Company utilizes point-of-sale software to generate customized sales reports and invoices and to track assets. The Company webcasts its live auctions over the Internet. This auction format allows online bidders to compete in real time against bidders at the live auction. Bidders can log onto the auction from personal computers, view and bid on lots as they come up for sale, hear the auctioneers as the sale is being conducted and, in some cases, view live streaming video of the auctioneer calling the bids on-site. In the online auction format, the sale of assets takes place online, without a live auctioneer calling the sale.

The Company provides advisory services relating to the wind down process from beginning to end, including negotiation of early lease terminations, sale of intellectual property and sale of completed inventory through the client's historical distribution channels. It assists clients with managing the disposition of customer returns, obsolete inventory, extraneous fixtures and dated equipment. The Company serves as a broker, providing assistance in reaching target markets and potential buyers or marketing to its database of buyers and end users. The Company performs sealed bid sales in situations where asset disposition requires anonymity of the buyer or seller or involves other! confiden! tiality concerns. In this process, potential buyers submit bids without knowledge of the amount bid b y other participants. It also provides wholesale and industr! ial servi! ces on a fee, guarantee and an outright purchase basis.     Open season on the cookie jar
    Nor will they be alone. According to Bloomberg, the phenomenon of corporate insiders "raising loans through companies they own to pay themselves dividends" is a hot new trend. It's especially popular among private equity owners. A few examples:

    During the three years in which Blackstone Group (NYSE: BX  ) owned SeaWorld (NYSE: SEAS  ) , before IPOing it earlier this year, the private equity firm heaped $400 million in new debton the company -- and paid itself in excess of $600 million worth of "special" dividends. Petco has been taken private twice already (and re-IPOed once), getting loaded up with debt each time. A couple of years ago, private equity owners TPG Capital and Leonard Green & Partners took out more than $1.2 billion in loans to pay themselves a near-$700 million special dividend. Yankee Candleis aiming to raise $1.4 billion later this year and, like Beats, says it will use some of the money to roll over old debt and some more to pay its private equity owner, Dearborn Partners, a $187 million dividend.

    First up is $25 billion eyewear stock Luxottica Group (LUX). Luxottica has posted some solid performance year-to-date, rallying more than 28% since the calendar flipped over to January. But this stock looks downright toxic right now. Here's why.

    Luxottica is currently forming a bearish price setup called a descending triangle. The pattern is formed by a horizontal support level below shares at $51 and downtrending resistance to the topside. As shares bounce between those two technically significant price levels, LUX is getting squeezed closer to a breakdown below that $51 price floor. When that happens, we've got our sell signal in this fashion stock.

    Declining volume over the course of the setup in LUX adds some confirmation to the trade, but the downtrend in relative strength is the real problem in this chart. LUX has been underperforming the broad market horrifically in the last quarter, and a move through the $51 level would sap a lot more buying pressure from shares.

    If you still own LUX, look for that sell signal as your exit.

As of the first quarter, 73.5% of its investment portfolio was tied up in agency residential-MBSes, with the remaining 26.5% made up on non-agency RMBSes, commercial loans, commercial MBSes, and other asset-backed securities.
